1. About These Terms

These Terms of Service ("Terms") govern your use of the Lingoodle platform and services. By reserving seats, making payment, or accessing the Lingoodle platform, you agree to these Terms.

Lingoodle ("we", "us", "our") is an Irish company providing online Mandarin Chinese tutoring services.

These Terms form a legally binding agreement between Lingoodle and:
- Enterprise Partners — companies purchasing Lingoodle packages
- Parents and Guardians — who register and manage child accounts


2. The Lingoodle Service

Lingoodle provides:
- 1-on-1 live online Mandarin Chinese tutoring for children (K12)
- Sessions aligned to the Youth Chinese Test (YCT) curriculum framework
- 14-week Neuro-Sprint programmes of 70 sessions per learner
- Sessions delivered via Canvas (LMS) and Zoom (video)
- Anonymised Neural Capital Impact Summaries for enterprise partners

2.1 Seat Allocation

Each enterprise package provides 10 seats for one 14-week YCT Neuro-Sprint cohort. Seats are allocated, not transferred. Unused seats at cohort close are forfeited without refund unless otherwise agreed in writing.

3.1 Payment

3.2 Non-Refundable Payment Policy

All payments made to Lingoodle are non-refundable. By making payment, the Enterprise Partner acknowledges and agrees that:

This policy reflects real costs incurred by Lingoodle immediately upon reservation, including platform configuration, tutor allocation, compliance infrastructure, background verification, and programme setup. Enterprise Partners are advised to satisfy themselves fully regarding the suitability of the programme before making payment.

3.3 Delivery Guarantee

Notwithstanding clause 3.2, Lingoodle guarantees delivery of the full 14-week Neuro-Sprint programme as described. In the event that Lingoodle is unable to deliver the programme for any reason within Lingoodle's control:

For the avoidance of doubt, the Delivery Guarantee applies only where non-delivery is due to a failure on Lingoodle's part. It does not apply where non-delivery results from circumstances beyond Lingoodle's reasonable control (see clause 3.4).

3.4 Force Majeure

Lingoodle shall not be liable for non-delivery where this results from circumstances beyond its reasonable control, including but not limited to acts of God, pandemic, government restriction, or internet infrastructure failure. In such circumstances, Lingoodle will make all reasonable efforts to reschedule the programme. If rescheduling is not possible within 12 weeks, a full refund will be issued.

3.5 Data Processing Agreement

Enterprise partners are required to sign Lingoodle's Data Processing Agreement (DPA) prior to commencement of services. The DPA governs how Lingoodle processes personal data on behalf of enterprise partners.

3.6 Anonymised Reporting

Enterprise partners will receive an anonymised Neural Capital Impact Summary upon cohort completion. This report contains aggregated, anonymised data only. No individual child's data is identifiable in this report.


4. Parent and Guardian Terms

4.1 Account Creation

Parents and guardians must:
- Be 18 years of age or older
- Create and manage their child's account on their child's behalf
- Confirm they are the parent or legal guardian of the child
- Provide accurate information during registration

4.2 Parental Consent

By creating a child account, parents and guardians:
- Confirm they have read and accept the Lingoodle Privacy Policy
- Give explicit consent for their child's name and progress data to be processed
- For children under 13: confirm they provide verifiable parental consent as required by COPPA

4.3 Parent Responsibilities

Parents and guardians are responsible for:
- Ensuring the child attends scheduled sessions
- Providing a suitable, quiet environment for sessions
- Supervising children as appropriate during sessions
- Notifying Lingoodle of any concerns regarding their child's welfare

5. Tutor Standards and Safeguarding

All Lingoodle tutors:
- Are native Mandarin speakers based in approved Tier 1 countries
- Have undergone background checks with their national criminal records authority
- Have been verified against national sex offender registries
- Have signed Lingoodle's Tutor Code of Conduct and Data Protection Agreement
- Are prohibited from contacting learners outside the Lingoodle platform

6. Acceptable Use

You agree not to:
- Share account credentials with any third party
- Record sessions without prior written consent from Lingoodle
- Use the platform for any purpose other than the Lingoodle tutoring programme
- Attempt to contact tutors outside the platform
- Reproduce or distribute Lingoodle curriculum materials


7. Intellectual Property

All Lingoodle curriculum materials, lesson plans, neuro-protocols, branding, and content are the intellectual property of Lingoodle. Enterprise partners and parents receive a limited, non-transferable licence to use the platform solely for the purpose of the purchased programme.

The YCT framework is used by Lingoodle as a pedagogical standard only. Lingoodle has no affiliation with any Chinese government entity.


8. Limitation of Liability

To the maximum extent permitted by Irish law:
- Lingoodle's total liability to any enterprise partner shall not exceed the total fees paid in the preceding 12 months
- Lingoodle is not liable for indirect, consequential, or incidental damages
- Lingoodle does not guarantee specific learning outcomes for any individual child


9. Governing Law and Disputes

These Terms are governed by the laws of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the Irish courts.

For US enterprise partners, nothing in these Terms limits any rights you may have under applicable US federal or state law.



UAE-Specific Provisions

UAE VAT

Lingoodle's tutoring services provided to UAE-based enterprise clients may be subject to UAE Value Added Tax (VAT) at the standard rate of 5% under UAE Federal Decree-Law No. 8 of 2017. Where applicable, VAT will be charged in addition to the stated package price. Lingoodle will notify enterprise clients of UAE VAT applicability prior to invoicing. Clients are responsible for their own VAT compliance obligations.

UAE Client Rights

Enterprise clients domiciled in the UAE retain all rights available to them under applicable UAE law, including UAE Federal Decree-Law No. 45 of 2021 (PDPL) and the UAE Civil Code. Nothing in these Terms of Service limits or excludes rights that cannot be waived under UAE mandatory law.

UAE Dispute Resolution (Addendum — applicable to UAE enterprise clients only)
For enterprise clients domiciled in or registered in the United Arab Emirates, the following dispute resolution clause applies in substitution for Section 9 (Governing Law) of these Terms of Service:

(a) These Terms shall be governed by and construed in accordance with the laws of the UAE.

(b) Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be finally resolved by arbitration under the Arbitration Rules of the Dubai International Arbitration Centre (DIAC), which rules are deemed to be incorporated by reference into this clause.

(c) The seat of arbitration shall be Dubai, UAE. The language of the arbitration shall be English. The number of arbitrators shall be one (1), unless the parties agree otherwise.

(d) The award shall be final and binding on both parties.

Note to solicitor: Please confirm (i) whether UAE or DIFC law is preferable as governing law for Lingoodle's specific service model; (ii) whether a DIFC Courts jurisdiction clause should be offered as an alternative for DIFC-registered enterprise clients; (iii) enforceability of the non-refundable clause under UAE Civil Code Article 390(2).

10. Changes to These Terms

We will notify enterprise partners of material changes to these Terms by email at least 30 days before changes take effect.
